1. Definitions / Interpretation
1.1. Customer means any person, company, or entity placing an order on GTA.lk or purchasing from GTA (whether via e-shop or via wholesale business).
1.2. Products refers to any goods listed on GTA.lk or supplied by GTA (including FMCG, food, beverages, baby-care, etc.).
1.3. Order refers to a request by the Customer to purchase Products from GTA.
2. Acceptance of Orders
2.1. All Orders placed by the Customer are subject to acceptance by GTA. We reserve the right to accept or reject any Order.
2.2. An Order is only deemed accepted when GTA confirms acceptance in writing (for example, via email) or dispatches the Products.
2.3. The Customer warrants that all details provided in their account, Order, or other communications (such as business license, billing address) are correct and up to date.
3. Payment Policy
3.1. Pricing

All prices for Products are listed on gta.lk or otherwise provided by us in quotes for wholesale clients.

Prices are in Sri Lankan Rupees (LKR) unless otherwise stated.

Prices exclude taxes, duties, or other levies, unless explicitly included.
3.2. Payment Methods

We accept payments via bank transfer, credit/debit card, or other payment methods as listed on our website.

For wholesale accounts (shops / supermarkets), payment terms may be agreed separately (for example, net 30, net 60) depending on credit approval.
3.3. Payment Timing
-
For e-shop customers: Payment must be made in full before dispatch, unless cash-on-delivery is available and selected.

For approved wholesale customers: Payment must be made according to agreed credit terms.
3.4. Late Payments

If payment is not received by the due date, GTA reserves the right to suspend further deliveries, cancel pending Orders, or charge interest on overdue amounts (as per mutually agreed credit terms).
3.5. Order Cancellation

If payment fails (e.g., card declined or transfer fails), GTA reserves the right to cancel the Order.
4. Delivery Policy
4.1. Delivery Areas
-
GTA delivers within Sri Lanka and to the Maldives, as per our logistics capability. (Reflect actual service coverage.)
4.2. Delivery Charges
-
Delivery fees depend on Order size, weight, volume, and delivery destination. These will be calculated and displayed at checkout (for e-shop) or quoted to wholesale clients.
4.3. Lead Time
-
Estimated delivery times will be provided when you place an Order. Typical lead times may vary depending on stock availability and your location.
4.4. Risk and Title
-
Risk in the Products passes to the Customer when the Products are delivered to the delivery address.

Ownership (title) of the Products remains with GTA until full payment (including any additional charges) has been received.
4.5. Failure to Accept Delivery
-
If the Customer is not available to accept delivery at the agreed time, GTA may charge a re-delivery fee or cancel the delivery.
4.6. Damage in Transit
-
The Customer must inspect Products immediately upon delivery.

Any damage, shortage, or discrepancy must be notified to GTA in writing (e.g., via email) within 48 hours of delivery. GTA reserves the right to investigate claims.
5. Return Policy
5.1. Eligibility for Return
-
Returns are accepted only for defective Products, damaged Products, or Products delivered in error.
-
Returns must be initiated within 7 days of delivery (or another agreed return window).
5.2. Condition of Returned Products
-
Products must be returned in their original packaging, unused, and in the same condition as delivered.
-
GTA reserves the right to refuse returns that are used, damaged by the Customer, or not in saleable condition.
5.3. Return Process
-
To return a Product, the Customer must first obtain a Return Authorization from GTA (by emailing info@gta.lk with order number, item, and reason).
-
Once authorized, the Customer shall arrange and bear the cost of return shipment, unless GTA agrees to cover return shipping for defective or wrongly shipped goods.
5.4. Inspection & Approval
-
Upon receiving the returned Product, GTA will inspect it.
-
If the return is valid (defect, wrong item, etc.), GTA will either issue a replacement, credit note, or refund, per the Customer’s preference and GTA’s discretion.
6. Exchange Policy
6.1. When Exchanges Apply
-
Exchanges are allowed for Products that are defective, wrong item delivered, or damaged in transit.
-
Exchange is not generally allowed just for “change of mind,” unless agreed by GTA.
6.2. Exchange Process
-
The Customer must contact GTA within 7 days of delivery to request an exchange, providing details and photographic evidence if needed.
-
GTA will issue an Exchange Authorization, after which the Customer returns the Product (see Return Process in section 5).
-
Once the returned item is received and inspected, GTA will send the replacement Product to the Customer (subject to stock availability).
6.3. Costs
-
For defective/wrong Products, GTA will bear reasonable shipping costs for the exchange.
-
If the exchange is due to a Customer error (e.g., wrong SKU ordered), the Customer may bear return and re-delivery costs.
7. Refund Policy
7.1. When Refunds Apply
-
Refunds will be issued only when:
a) The returned Product is defective or damaged.
b) GTA is unable to supply a replacement due to lack of stock.
c) There was an error in the order (wrong item, wrong quantity), and exchange/refund is agreed.
7.2. Refund Method
-
Refunds will be made using the original payment method, whenever possible.

If that is not feasible, GTA may issue a credit note for future purchases.
7.3. Time to Process Refund
-
Once the returned Product is inspected and approved, GTA will process the refund within 14 business days.

If the refund is via bank transfer, it may take additional time depending on banking processes.
7.4. Deductions

In rare cases, GTA may deduct a reasonable restocking fee (if agreed in advance) or shipping costs, especially when the return is not due to GTA’s fault.
8. Wholesale-Specific Terms
8.1. Account Registration

Shops, supermarkets, and other businesses must register for a wholesale account.
-
GTA may require business documentation (business license, tax ID, etc.) before approving a wholesale account.
8.2. Credit Terms
-
Credit terms are subject to GTA’s credit evaluation.

GTA reserves the right to modify or withdraw credit terms at any time.
8.3. Minimum Order Quantity (MOQ)

GTA may impose MOQs on certain Products for wholesale customers; these will be clearly communicated.
8.4. Pricing & Discounts
-
Wholesale customers may receive volume-based discounts, promotional pricing, or special terms.

GTA reserves the right to change wholesale pricing, subject to notice (unless otherwise contractually agreed).
9. Cancellations
9.1. By Customer

Customers may cancel an Order before it has been accepted or dispatched.
-
For wholesale orders with credit terms, cancellation may require notice and could incur a cancellation fee if production or procurement has already started.
9.2. By GTA
-
GTA may cancel an Order if it is unable to supply the Products (e.g., out of stock), or if the Customer is in breach of payment or other terms.
10. Liability & Warranty
10.1. Warranty

GTA warrants that Products supplied are as described and meet applicable quality standards.

Any additional warranties (e.g., manufacturer warranty) are passed through to the Customer, where applicable.
10.2. Limit of Liability
-
To the maximum extent permitted by law, GTA’s liability is limited to the amount paid by the Customer for the relevant Products.

GTA is not liable for indirect, special, or consequential losses, including but not limited to loss of business, reputational damage, or loss of profits.
11. Intellectual Property
11.1. All content on gta.lk (text, graphics, logos, images) is owned or licensed by GTA.
11.2. Customers may not copy, reproduce, or use any content from the site for commercial purposes without prior written permission.
12. Privacy & Data Use
12.1. GTA collects and processes Customer data in accordance with our Privacy Policy.
12.2. By placing an order or registering, Customers consent to our use of their data as described in the Privacy Policy.
13. Modification of Terms
13.1. GTA reserves the right to modify or update these Terms & Conditions at any time.
13.2. When we update the Terms, we will post the revised version on gta.lk. Continued use of the site or placing Orders after such changes constitutes acceptance of the new Terms.
14. Governing Law & Dispute Resolution
14.1. These Terms are governed by and construed in accordance with the laws of Sri Lanka.
14.2. Any dispute arising out of or in connection with these Terms shall be submitted to the competent courts of Sri Lanka (or arbitration, if you prefer / have agreed so).
